Lesson 2 Building the Actual Empire

Step 1: Parent C Corporation Share Structure

Once your Wyoming Parent C Corporation is filed, authorize ten thousand (10,000) shares. Issue nine thousand (9,000) to your Wyoming Holding Company, registered agent only with no client name attached, and keep one thousand (1,000) for yourself.

This makes you a ten percent owner on paper, balancing control and privacy while keeping the structure clean for banks and underwriters.

Print the ledger, sign the certificates, and file them. From here forward, every bank sees a properly structured corporation, and every credit line has a clear decision maker without exposing the entire empire.

Step 2: Holding Company and Dynasty Trust

Next, the Holding Company issues its own ten thousand (10,000) shares. Nine thousand are placed into the Dynasty Trust, fully reserved for future generations, and one thousand remain flexible so you can adjust later without breaking the structure.

Every subsidiary under the Parent Company mirrors the same logic: Operating Companies, REIT, Family Office, and future entities all receive nine thousand shares from the Parent, with one thousand left unissued as a strategic reserve.

Step 3: Activating Subsidiaries With Flexibility

When you are ready to activate a new subsidiary, you simply issue part or all of the remaining one thousand shares to yourself and document the action in your corporate records.

If you do not need that entity yet, the shares remain unissued. This approach gives you flexibility without creating compliance issues or unnecessary personal exposure.

Step 4: Professional Management and Support

When it is time to step back from day to day operations, you appoint a professional General Manager, not a CEO, and place them on payroll through the Parent Company with full W-2 documentation and a real company email.
